
Advanced Taxation of LLCs
Business lawyers advising clients as to what tax classification the entity should elect often comes without much consideration or knowledge of the resulting tax consequences from the various tax classifications. This two-part course will consider the tax consequences upon formation, transfers of property to the business, distributions of property to the members, financing transactions, awarding equity interests to members, executing a buy/sell agreement upon death or retirement of a partner, issuing stock options to employees, selling a business, and liquidation of a business. These events throughout the life of the business will be compared as if the company were taxed as a partnership v. S-corporation v. C-corporation, so that you are better equipped to spot tax issues and advise your business clients.
